These Terms & Conditions (“Terms”) govern your access to and use of the Systech MSP website (systechmsp.com) and our services. By using the website or engaging our services, you agree to these Terms.

Services & Scope

We provide managed IT services, cybersecurity solutions, cloud services, IT strategy & planning, disaster recovery, audit services, and related offerings as described on our website. Systech MSP

We may require you to sign a separate service agreement (Master Services Agreement, Statement of Work, SLA) that further defines deliverables, terms, and obligations.


 User Obligations & Acceptable Use

You must:

  • Provide accurate, current, and complete information when registering or engaging services

  • Maintain the confidentiality of account credentials

  • Use our site and services in compliance with applicable laws

  • Not misuse, interfere with, or harm our systems, networks, or services

  • Not attempt unauthorized access or reverse engineering

We reserve the right to suspend or terminate access for violation.


 Intellectual Property

All content on the site (text, graphics, logos, images, software, designs) is owned or licensed by Systech MSP and is protected by copyright, trademark, and other laws.

You may not reproduce, distribute, modify, create derivative works, publicly display, or exploit any content without our prior written consent.


Payment & Fees

Services are provided in exchange for fees as agreed in written contracts.

Unless otherwise stated:

  • Fees are due in accordance with the payment terms

  • Late payments may incur interest or suspension of services

  • You are responsible for taxes (excluding taxes based on our net income)


Term, Termination & Suspension

  • Term: The term of service begins as per contract and continues until terminated as specified.

  • Either party may terminate in accordance with the contract (e.g. for breach, non-payment, insolvency)

  • We may suspend services immediately (without liability) if you breach these Terms, engage in illegal behavior, or cause harm to systems

  • Upon termination, you will pay for services rendered up to the termination date

  • We may delete or decommission your data or access after a grace period (as per contract)


 Disclaimers & Limitation of Liability

Disclaimers

  • Services are provided “as is” and “as available”

  • We make no warranties (express or implied) about title, non-infringement, fitness for a particular purpose, or uninterrupted availability

  • We do not warrant that the site or services will be error-free or secure

Limitation of Liability

To the maximum permitted by law:

  • In no event shall Systech MSP (or its affiliates, officers, employees, agents) be liable for indirect, incidental, special, exemplary, or consequential damages (e.g. loss of profits, data, business interruption)

  • Our total liability for claims arising out of or relating to these Terms or services shall not exceed the fees you have paid us in the 12 months preceding the claim

  • Some jurisdictions do not permit limitations on liability; in those cases our liability is limited only to the extent permitted by law


Indemnification

You agree to indemnify, defend, and hold harmless Systech MSP and its personnel from any claims, losses, damages, liabilities, costs, and expenses (including attorney’s fees) arising from:

  • Your breach of these Terms

  • Your violation of any law or third-party rights

  • Use of our services or site by you or your agents


Confidentiality

Both parties may receive confidential information (technical, business, financial) in connection with services. Each party agrees to:

  • Hold such information in confidence

  • Use it only for permitted purposes

  • Restrict disclosure to authorized personnel

  • Return or destroy it upon termination (or as agreed)

Exceptions include information already public, independently developed, known prior, or required for legal purposes.


Governing Law & Dispute Resolution

  • These Terms shall be governed by and construed under the laws of [State / Country, e.g. New York, U.S.] (or as you choose)

  • Any dispute shall be resolved by negotiation, then perhaps mediation or binding arbitration (if you choose)
